Establishing a legal entity

The problem
A foreign enterprise needed a legal entity and live commercial operations, without clarity on entity structure, conditional business lines, tax positioning or labour compliance. Getting the first filings wrong would have meant repeated revisions and a slipped go-live.
What EGI did
We built a market entry blueprint covering the entity structure, a workable revenue model and a phased compliance roadmap, then delivered the execution pack: incorporation, tax registration, bank account opening, and a contracting package standardised for Vietnamese counterparties.
Where it landed
Legal presence established and commercial operations launched on the original date, with the rework cycles avoided.

Offshoring manufacturing

The problem
A foreign enterprise wanted to move part of its manufacturing to Vietnam. The problem went well past finding factory space: the right location for the operating model, validated suppliers, quality standards, recruitment and training, and local compliance.
What EGI did
We advised on region selection, factory model, labour availability and logistics, then produced a location shortlist weighed on logistics, workforce, infrastructure and regulatory risk. We screened suppliers, ran the site visits and supported commercial negotiation.

Acquiring a complex asset

The problem
An investor was looking at an asset with a complicated history: outstanding obligations, unclear transfer conditions, inconsistent legal documentation and a multi-layer approval process. The exposure sat after completion, not before it.
What EGI did
We ran a legal and compliance review on a bottleneck, impact and mitigation framework, then designed a milestone-based transaction structure. We agreed a roadmap with stakeholders for clearing legacy issues, and negotiated representations, warranties, indemnities, conditions precedent and milestone payments.
Where it landed
Transaction executed, bottlenecks cleared, and the post-acquisition risk allocated, time-bound and enforceable.
